Conducting a board of directors meeting is a difficult task which involves setting the agenda and providing relevant background information to all participants. It’s also important to keep the discussion focused on the most important topics and issues facing your company.

The presiding officer calls the board meeting to order at a predetermined start time and makes sure that a quorum is present. The meeting then proceeds to discuss any officers or committee reports that have to be approved. The board will go over any key performance indicators (KPIs) that have been established for the organization in order to make sure they’re on the right track to achieve their objectives.

Then the board will discuss new policies to be implemented and ways to improve existing processes. The board will then consider any forthcoming events, or changes in leadership that need to be addressed at the next meeting.

To prevent this from happening you should be able to agree ahead of time on the procedure that allows directors to bring topics into the “parking lot” for future meetings so that they are discussed or explored further. It is also recommended to encourage your board members beforehand to meet with the chair or other directors so they can get their questions answered ahead of time and focus on discussing important topics at the meeting. This will help save meeting time and will ensure an effective board of directors meeting.
